   These Official Rules (“rules”) set forth the rules governing the giveaway sponsored and administered by Faire Wholesale (UK) Ltd., 22 Berners Street, 1st Floor, London, UK W1T 3LP (“Faire”) called the “Faire x Autumn Faire: Win Your £5,000 Wishlist” (the “Giveaway”) and govern your participation therein. NO PURCHASE IS NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING. THE ODDS OF WINNING WILL DEPEND ON THE TOTAL NUMBER OF ELIGIBLE ENTRIES RECEIVED. VOID WHERE PROHIBITED BY LAW OR RESTRICTED BY LAW. THIS GIVEAWAY IS IN NO WAY AFFILIATED WITH INSTAGRAM.
   

2. Eligibility
   
   The Giveaway is available to all Faire retailers in all markets except where prohibited by law, and who are at least eighteen (18) years of age. All entrants must be eligible to purchase on Faire pursuant to Faire’s onboarding and ongoing customer requirements.

   Except where prohibited by law, by participating in the Giveaway and/or winning a prize, you irrevocably consent to the use of your name, image, photograph, likeness, biographical information, entry, statements attributed to you (if true) and any video footage related to the prize, for Faire and its affiliates’ advertising, promotional or other commercial purposes in all media now or hereafter known, worldwide and in perpetuity without additional compensation. You also consent to Faire putting your name on a winner’s list.
   

3. Instructions To Enter Sweepstakes
   
   The Giveaway will begin at 00:01 on August 7, 2025 and end at 12:00pm on September 30, 2025 (the “Giveaway Period”). All entries must be received during the Giveaway Period. Faire’s computer is the official timekeeping device for entry in the Giveaway. Normal time rates, if any, charged by your Internet service or mobile provider will apply.

   Entry Method #1. New retailers that sign up to be on Faire during the Giveaway Period will automatically be entered into the Giveaway. Existing retailers already on Faire are required to fill out the form located here in order to enter the Giveaway.

   Entry Method #2. You may enter by mail without obligation by hand writing your name, mailing address, phone number, e-mail address and the name of the Giveaway on a 4”x6” card and mail to: Faire Wholesale (UK) Ltd., 22 Berners Street, 1st Floor, London, UK W1T 3LP: Giveaways. Mail-in entries are limited to one (1) entry per person and must be postmarked on or before the final day of the Giveaway Period and received on or before the last day of the Giveaway Period. When entering, you are required to provide complete and truthful information. Incomplete, illegible, corrupted, false, lost, late or misdirected, deceptive or otherwise non-compliant entries may be disqualified from the Giveaway at Faire’s sole discretion. Entries submitted by persons who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. You are not permitted to use any scripts, computer programs, robotic repetitive, macro, automatic, programmed or similar automated entry methods or agents to submit entries. All entries are the property of Faire. In order to participate in the Giveaway, you agree to be bound by these rules and to comply with any and all applicable federal, state and local laws, rules and regulations. Winning the Prize is contingent upon fulfilling all requirements set forth in these rules.
   

4. Winner Selection & Notification

   The winner of the Giveaway will be chosen at random from entrants during the Giveaway Period. The Prize will be awarded to the authorized account holder. The winner will be notified within seven (7) days (or such other time determined by Faire) following the earlier of the selection of the winner or the end of the Giveaway Period at the email address or phone number associated with the winning account or such other method specified by Faire (“Winner Notification”), and will be required to confirm their email address and/or phone number.

   After receiving a Winner Notification, the winner has sixty (60) days to claim prizes and provide necessary information in order for Faire to send prizes. Prizes are final and cannot be exchanged for cash. The winner is solely responsible for paying any jurisdictional and income taxes and any other costs and expenses not expressly covered by Faire in these rules. Any prize details not specified above will be determined by Faire in its sole discretion. Any other incremental expenses on prize not specified herein are the winner’s sole responsibility.

   If any Winner Notification is rejected or returned as undeliverable, if a potential winner cannot be reached after a reasonable attempt has been made by Faire, if a winner cannot attend or participate in any portion of the prize, or if the potential winner fails to respond to a Winner Notification, the prize will be forfeited in Faire’s sole discretion and an alternate winner may be selected based on the original method of winner selection in Faire’s sole discretion. Faire may only look to two (2) alternate winners for the Prize, at which point the prize may be deemed unclaimed and Faire will have no further obligation with respect to such prize. Faire reserves the right to modify the notification procedures in connection with the selection of any alternate potential prize winner. If legitimately claimed in compliance with these rules, the prize will be awarded. To claim a prize, the winner must follow the directions in the Winner Notification.

   A prize may not be transferred and must be accepted as awarded. Faire reserves the right to substitute a prize with another prize of equal or greater value if the prize is not available for any reason, as determined by Faire in its sole discretion. Prizes are awarded “as is” with no warranty or guarantee, either expressed or implied by Faire.
   

5. Winner Verification

   The winner may be required to prove eligibility. This may include, without limitation, any or all of the following: proof of age, residence and identity (e.g., via driver’s license, passport or similar government issued identification) within the time period required by Faire in order to claim the prize. Winning the Giveaway is not official until all documentation required by Faire has been completed, and the eligibility of the potential winner has been verified. If the ultimate winner fails to complete all necessary documentation as required by Faire, they will forfeit the prize and an alternate winner will be chosen pursuant to the process set forth in these rules. If in compliance with these rules and all of the foregoing, the winner will be officially confirmed. Faire expressly reserves the right to delay any such announcement in its discretion.
   

6. Prize

   There will be one (1) winner determined at the end of the Giveaway Period. The winner will receive £5,000 in Faire credit that must be used on the Faire platform within sixty (60) days following distribution from Faire.
   

7. Liability Release and Indemnity

   THE PRIZE IS OFFERED AND PROVIDED “AS IS” WITH NO WARRANTY OR GUARANTEE BY FAIRE OR ANY OTHER ENTITY, EITHER EXPRESS OR IMPLIED. IN NO EVENT WILL FAIRE OR ANY OTHER ENTITY BE LIABLE TO ANY ENTRANT OF THE GIVEAWAY FOR ANY DIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH THEIR PARTICIPATION IN THE GIVEAWAY, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT FAIRE AND/OR OTHER ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

   By participating in the Giveaway, you agree to indemnify, defend and hold harmless Faire and its parent, subsidiaries, affiliates, partners and its and their respective officers directors, employees and agents (the “Released Parties”) from any and all liability for any claims, damages, injuries or losses of any kind, and to release all rights to bring any claim, action or proceeding arising out of, in connection with or relating to, (a) participation in Giveaway, (ii) personal injury or property damage arising directly or indirectly from the acceptance, possession, misuse or use of any prize, (iii) defamation, violation of publicity rights or invasion of privacy in connection with the Giveaway or acceptance and use or any prize, and (iv) any violation of third party intellectual property or other proprietary rights arising from or related to the Giveaway, any prize, or Faire’s advertising and marketing related to the Giveaway, any entrants or the winner, in all cases. You assume all liability for any injury or damage caused, or claimed to be caused, by your participation in the Giveaway, or the acceptance, receipt or use of any prize or any portion thereof. You further agree that in any cause of action, Faire and/or the Released Parties’ liability will be limited to the value of the applicable prize, and in no event shall Faire or any of the Released Parties be liable for attorney’s fees. The foregoing is only to the extent permitted by applicable law.
   

8. Additional Terms

   In the event that the operation, security, or administration of the Giveaway is impaired in any way, Faire may, in its sole discretion, suspend the Giveaway to address the impairment and then resume the Giveaway. Faire reserves the right to extend the Giveaway Period if it does not receive a sufficient number of entries (as determined by Faire, in its sole discretion) by the date set forth above. Faire reserves the right, in its sole discretion, to disqualify and seek damages from any individual who tampers with the operation of the Giveaway, violates these rules, or acts in a disruptive or unsportsmanlike manner. The failure of Faire to enforce any term of these rules shall not constitute a waiver of that provision. Proof of sending any communication to Faire by mail shall not be deemed proof of receipt of that communication by Faire. The Giveaway is subject to all applicable laws and regulations and is void where prohibited.
   

9. Disputes and Governing Law

   Except where prohibited by law, you agree that (a) ANY DISPUTE, CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THE GIVEWAY OR ANY PRIZE AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, (b) any dispute, controversy or claim arising out of or relating to the Giveaway or any prize awarded shall be resolved by binding arbitration administered by the London Court of International Arbitration (“LCIA”) in accordance with the the LCIA rules then in effect, (c) any arbitration shall be heard by one (1) arbitrator to be selected in accordance with the LCIA rules, in London, England, (d) unless both you and Faire agree in writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of class or representative proceeding, (e) judgment upon any award rendered may be entered in any court having jurisdiction thereof and (f) any award or judgment shall be subject to all limitations and releases set forth in these rules and be limited to actual out of pocket damages, and shall not, in any event, include any punitive, exemplary, consequential or incidental damages, attorney’s fees or costs of bringing a claim, or any injunctive or other equitable relief. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
   

10. General Terms

    The Released Parties are not responsible if the Giveaway cannot take place, or if any prize(s) cannot be awarded due to delays, interruptions or failures due to acts of God, war, natural disasters, weather, acts or threats of terrorism, strikes, lockouts, labor disputes, work stoppages, fire, acts of government or other events outside of Faire’s reasonable control. If for any reason the Giveaway is not capable of running as planned, Faire reserves the right, in its sole discretion, to cancel, terminate, modify or suspend it in whole or in part. If the Giveaway in whole or in part is terminated or modified prior to the closing of the Giveaway Period, notice will be communicated by Faire. Faire reserves the right to modify and amend these rules from time to time during the Giveaway Period for clarification purposes. The invalidity or unenforceability of any provision of these rules will not affect the validity or enforceability of any other provision. In the event that any provision of these rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Faire’s failure to enforce any provision of these rules will not constitute a waiver of that term or any other provision of these rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of these rules or any provision hereof. All federal, state and local laws and regulations apply. These rules and the Giveaway in general shall be governed by and construed in accordance with the laws of England and Wales, without giving effect to any choice of law or conflict of laws rules.
    

11. Privacy

    All information submitted by you that is collected by Faire in connection with your participation in this Giveaway will be subject to Faire’s Privacy Policy (www.faire.com/privacy), which by participating, you hereby acknowledge.
    

12. Accessibility of Rules

    A copy of these rules is available via URL. Where required by law, Faire will provide the name of the winners of the Giveaway to those who request them. To request this information, send a self-addressed, stamped envelope postmarked to Faire Wholesale (UK) Ltd., 22 Berners Street, 1st Floor, London, UK W1T 3LP, Attn: Faire Legal Department – List of Winners including the name of the Giveaway on the lower left-hand corner of the envelope. Such requests must be received within two (2) weeks of the end of the Giveaway Period.
