The Faire “Insider Partnership” Program (the “Insider Partnership”) is a companion program to Insider – Faire’s paid membership program for Retailers (“Insider”). The Insider Partnership is open to U.S., Australian and Canadian Brands. Participating Brands enrolled in the Insider Partnership (each an “Insider Partner”) subsidize the shipping costs for orders placed with them through the Services by certain Retailers, as further described below.
By enrolling in the Insider Partnership, you are agreeing to these Faire Insider Partnership Terms & Conditions (“Program Terms”). In addition to these Program Terms, your participation in the Insider Partnership is subject to the Faire Brand Terms of Service (“Faire Brand Terms”) and the Faire Privacy Policy. The terms “you” and “your” refer to the participating Insider Partner (defined below). Capitalized terms not defined in these Program Terms have the meanings given in the Faire Brand Terms. The English version of these Program Terms govern. Any translation is provided as a courtesy. Faire makes no representation or warranties with regard to the accuracy of the translation.
1. The Insider Partnership Program Obligations
From time to time, Retailers participating in Insider (“Insiders”) have the opportunity to receive free shipping for orders from various Brands and those opportunities vary in accordance with the terms of Insider. As an Insider Partner you agree to cover the cost of shipping for orders placed with you by Insiders designated by Faire as eligible for free shipping (each an “Eligible Insider”) with whom you have a Faire Direct relationship, up to the Funding Maximum (as further described below).
2. Eligible Insiders will Vary; Faire Direct Relationships
Eligible Insiders are determined by Faire in its sole discretion, utilizing a proprietary model based on a number of qualifying factors. These factors include: an Insider’s location, reported past shipping costs for orders placed by the Insider, whether a Brand is an Insider Partner, and whether an Insider Partner and the Insider have a “Faire Direct” relationship. Faire does not guarantee that any specific Insider will be an Eligible Insider or that an Eligible Insider will have “Insider” or “Eligible Insider” status for any specific period of time.
Where an Insider Partner and an Eligible Insider have a Faire Direct relationship, the Insider Partner will pay the cost of shipping for such Eligible Insider’s orders (up to the Funding Maximum). Faire may also increase the required order minimum (i.e., above the Order Minimum set by you) for certain Insiders to be your Eligible Insiders.
Like any other order placed on Faire, before you accept an order, you can view the details of such order in your Brand portal. Those order details, along with the order invoice, will indicate the orders placed with you by Eligible Insiders.
3. Program Requirements & Costs
a. Eligible Insider Shipping Fees; Deductions from Payout.
When you enroll in the Insider Partnership, you will be responsible for the cost of shipping and estimated import, customs and excise duties (where applicable) for orders placed with you through the Services by an Eligible Insider with whom you have a Faire Direct relationship (the “Eligible Insider Shipping Fee”), up to the Funding Maximum as set forth below. You will also be responsible for GST and other indirect taxes (where applicable). You acknowledge the applicability of the Faire Brand Terms, including without limitation Section 9 (Commissions, Payment Processing Fees and Payout Schedules) and agree to the calculation of the Eligible Insider Shipping Fee and any deductions from your payout amount (if applicable) subject to the Faire Brand Terms and any applicable shipping policies.
If you use “Ship with Faire,” you authorize Faire and/or its payment processors to deduct from your payout amount the Eligible Insider Shipping Fee and GST and other indirect taxes (where applicable).
If you ship on your own, Faire will reimburse you for shipping costs you incur (exclusive of GST and other indirect taxes): (a) beyond the Funding Maximum for orders placed by Eligible Insiders with whom you have a Faire Direct relationship, and (b) for orders placed by Eligible Insiders with whom you do not have a Faire Direct relationship (i.e., Faire pays for shipping). Note that in such cases, Faire will not reimburse you for amounts greater than your payout amount for such applicable order(s). Any policies or limitations applicable to your ship on your own activities on the Services, remain in effect regardless of your status as an Insider Partner.
Faire reserves all rights to cancel, terminate, or suspend your Insider Partnership, or limit your ability to ship on your own, if it believes you are misusing such features or submitting fraudulent shipping costs.
b. Funding Maximum.
If the Eligible Insider Shipping Fee equals an amount greater than the Insider Partner Percentage of the Order Subtotal for the applicable order (not including applicable taxes, discounts (whether offered by you or Faire), and commission) (“Funding Maximum”), Faire will be responsible for paying the remaining amount of the shipping cost in excess of the Funding Maximum for the applicable order. The “Insider Partner Percentage” applicable to calculation of the Funding Maximum will be the percentage in effect at the time you enroll in the Insider Partnership (or change your program tier, or otherwise modify your enrollment or participation). The Insider Partner Percentage will also vary depending on whether you enroll in the Insider Partnership at the “Insider Partner” tier or the “Insider Partner Basic” tier, as indicated on the Services.
If your Eligible Insider Shipping Fee exceeds your Funding Maximum, and Faire is responsible for paying the remaining amount in excess of the Funding Maximum for an applicable order, (i) if you used “Ship with Faire” for the order, only the amount up to the Funding Maximum will be deducted from your payout as contemplated herein and (ii) if you choose to ship the order on your own account and not with Faire, you will be reimbursed in accordance with the terms of 10(a) Shipping Costs of the Faire Brand Terms.
c. Cancellation of your Enrollment; 90 Day Obligation.
You can always opt-out of the Insider Partnership and cancel or change your enrollment at any time in your Brand portal. If you cancel your enrollment and opt-out of the Insider Partnership, Insiders who were deemed Eligible Insiders due to your participation in the Insider Partnership will no longer be eligible to receive free shipping on orders placed with you through the Services, EXCEPT that for a period of up to ninety (90) days starting from the date Faire confirms receipt of your request to cancel your enrollment (“Cancellation Effective Date”), you remain responsible for the Eligible Insider Shipping Fee for any orders placed by an Eligible Insider.
4. Suspension; Modification and Termination.
Without limiting any other remedies available to Faire (including any remedies under the Faire Brand Terms), and to the maximum extent permitted by law, Faire reserves the right to remove you from the Insider Partnership and otherwise suspend or terminate your enrollment in the event you become ineligible, including due to fraud, or misuse of any features or functionalities in the Services or in connection with your activities in the Insider Partnership, as reasonably determined by Faire in its sole discretion. Faire also reserves the right to modify or cancel the Insider Partnership or modify these Program Terms, at any time in its sole discretion, without advance notice. With any cancellation or discontinuation of the Insider Partnership you will be responsible for all accrued Eligible Insider Shipping Fees and all benefits will cease, subject to Faire’s sole discretion. If the modified Program Terms are not acceptable to you, your only recourse is to cancel your enrollment and opt out of the Insider Partnership, in accordance with the conditions prescribed in these Program Terms.
